Terms of Service

These Terms of Service ("Terms") are an agreement between you and Virtueplanet Services LLP ("PingArk", "we", "us"), the operator of PingArk. They govern your use of our website, the app, the ping endpoint, and our APIs (together, the "service"). By creating an account or using the service, you agree to these Terms. If you are using PingArk on behalf of a company, you confirm that you may bind that company to these Terms.

The service

PingArk monitors cron jobs and scheduled tasks. Your jobs send us a ping when they run, and we alert you when a ping does not arrive on schedule, plus any grace period you set. The service is a safety net that tells you when something has gone quiet. It does not run your jobs for you, and it cannot prevent a job from failing.

Accounts and access

You are responsible for your account and for everything that happens under it. Keep your password safe, and keep your ping URLs and API keys secret. They are capability secrets: anyone who holds one can ping or call the API on your behalf. You can rotate them at any time from your dashboard. Tell us promptly if you believe your account or a key has been compromised.

Acceptable use

You agree to use PingArk lawfully and not to misuse it. In particular, you agree not to:

  • abuse the ping endpoint or the alert channels, for example by sending traffic far beyond what your monitoring needs;
  • use the service to send spam, or to route alerts to people who have not agreed to receive them;
  • attempt to break, overload, or disrupt the service, or to access data that is not yours;
  • resell the service or present it as your own without our written agreement;
  • use the service to do anything illegal or to harm others.

Plans and billing

PingArk offers a free plan and paid plans. Paid plans are billed in advance through Paddle, either monthly or annually depending on the interval you choose. Prices are shown on our pricing page and may change; we will give you notice before a change affects your renewal.

Paddle is our merchant of record, which means it is the authorised reseller of PingArk. When you buy a paid plan, your purchase is a contract with Paddle rather than with us, and it is also covered by Paddle's buyer terms. We provide the service itself, and these Terms still govern how you use it.

Because Paddle is the seller, it works out, collects, and pays over any VAT, GST, or sales tax that applies where you are. The total you approve at checkout already includes any tax that has to be charged, so there is nothing for you to calculate or reclaim from us.

Card details are entered and stored by Paddle, not by us. Payment disputes are handled by Paddle under its process.

Refunds

If PingArk is not right for you, tell us within 14 days of a charge and we will refund it in full. No forms, no questions, no "explain yourself" email back. This covers your first payment on a paid plan and every renewal after it, so you are never billed for a year you did not want because a reminder slipped past you.

To ask for one, write to us from the address on your account, or from our contact page. That is the whole process.

Because Paddle is the merchant of record for your purchase, it issues the refund itself, back to your original payment method, and it usually lands within five to ten business days depending on your bank. Any tax charged at checkout is refunded with it. You still ask us, not Paddle: write in and we arrange it.

After 14 days, fees already paid are not refundable, except where the law where you live requires it or where we agree otherwise. You can cancel at any time and you keep the plan you paid for until the end of the period, so cancelling never costs you the time you have already bought.

Changes and cancellation

You can upgrade, downgrade, or cancel your plan at any time from your account. Upgrades take effect straight away. Downgrades and cancellations take effect at the end of your current billing cycle, so you keep the plan you paid for until then, and any proration is worked out by Paddle. When you move to a smaller plan, monitoring data beyond the new plan's limits is kept for a 30-day grace period before it is removed, so you have time to upgrade again or export it.

Service levels

We work hard to keep PingArk fast and available, and we run the service to a high standard. We do not, however, promise 100% uptime or that the service will always be available, uninterrupted, or free of errors. Monitoring depends on many things outside our control, including your own jobs, your network, and third-party notification providers. PingArk is a safety net, not a guarantee, and you should not rely on it as your only safeguard for anything critical.

Warranty disclaimer

The service is provided "as is" and "as available", without warranties of any kind, whether express or implied, to the fullest extent the law allows. We do not warrant that the service will meet your requirements, that alerts will always be delivered, or that any defect will be corrected. Some jurisdictions do not allow certain warranties to be excluded, so parts of this section may not apply to you.

Limitation of liability

To the fullest extent the law allows, PingArk is not liable for any missed or delayed alert, for any downtime, or for any loss of data. We are not liable for any indirect, incidental, special, or consequential loss, or for any loss of profits, revenue, business, goodwill, or anticipated savings, arising out of or in connection with your use of the service, even if we have been told such loss is possible.

Where we are found liable despite the above, our total liability to you for all claims in any 12-month period is limited to the amount you paid us for the service in that period. Nothing in these Terms limits any liability that cannot be limited by law.

Suspension and termination

You can stop using PingArk and close your account at any time. We may suspend or end your access if you break these Terms, if you abuse the service or attempt to disrupt it for others, or if we are required to by law. Where it is reasonable to do so, we will give you notice first. When your account ends, your right to use the service stops, and we will handle your data as described in our Privacy Policy and below.

Your data

You keep ownership of the data you put into PingArk. We handle personal data as set out in our Privacy Policy, and we host your data on servers in Europe. You can export your checks and delete your account at any time. If you need a data processing agreement for your own compliance, write to us and we will provide one.

Intellectual property

PingArk, including the website, the app, and our documentation, is owned by Virtueplanet Services LLP and protected by intellectual property laws. These Terms do not give you any right in our brand, software, or content beyond the right to use the service as intended. Our open-source SDKs and plugins are covered by their own licences, which apply to those packages.

Changes to these terms

We may update these Terms as the service or the law changes. When we make a material change, we will update the date at the top and, where appropriate, tell you by email or in the app. If you keep using PingArk after a change takes effect, you accept the updated Terms. If you do not agree, you should stop using the service and may close your account.

Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law rules. You and PingArk agree that the courts of Kolkata, India have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service, subject to any mandatory consumer protections that apply where you live.
